1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ADREZ LLC doing business as Adrez.ai ("we," "us," or "our"), located at 777 Brickell Ave, Suite 500, Miami, FL 33131. By accessing or using our platform, you agree to be bound by these Terms.

2. Service Description

Adrez.ai is an AI-powered video content creation and distribution platform designed for real estate professionals. Our services include:

• AI-generated avatar video creation using synthetic avatars and AI-written scripts.
• Automated multi-platform social media posting to TikTok, Instagram, Facebook, and YouTube.
• Content performance analytics and reporting.
• Hook research and script generation for real estate content.

3. Account Requirements

To use Adrez.ai, you must:

• Be a licensed real estate agent, broker, or authorized representative of a real estate business.
• Provide accurate and complete business information during registration.
• Be at least 18 years of age.
• Maintain the security of your account credentials.

You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Subscription Terms and Billing

Adrez.ai is offered as a subscription service with multiple pricing tiers (Starter, Growth, Agency, and Enterprise). Subscription fees are billed monthly through our payment processor, Stripe.

• Subscriptions automatically renew each billing cycle unless cancelled.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• Refunds are not provided for partial billing periods.
• We reserve the right to modify pricing with 30 days' written notice. Existing subscribers will be grandfathered at their current rate for at least one additional billing cycle.

5. Content Ownership and Licensing

Your Content: You retain ownership of all brand materials, logos, images, and information you provide to us. You grant Adrez.ai a non-exclusive, worldwide license to use these materials solely for the purpose of providing our services to you.

Generated Content: AI-generated video content, scripts, and captions produced through our platform are owned by you, the subscribing client. We retain a limited license to use anonymized, aggregated data derived from content performance for service improvement.

Platform IP: All Adrez.ai technology, algorithms, workflows, and platform features remain our intellectual property.

6. AI-Generated Content Disclosure

You acknowledge and agree that:

• Videos produced by Adrez.ai use synthetic (AI-generated) avatars and AI-written scripts.
• AI-generated content may require review before publication and you are responsible for reviewing and approving content posted to your accounts.
• You are responsible for ensuring that AI-generated content complies with applicable real estate advertising regulations in your jurisdiction.
• Where required by law or platform policy, content should be disclosed as AI-generated.

7. Third-Party Platform Compliance

By connecting your social media accounts to Adrez.ai, you agree to comply with the terms of service of each connected platform, including but not limited to:

• TikTok: TikTok Terms of Service
• Meta (Instagram & Facebook): Meta Terms of Service
• YouTube: YouTube Terms of Service

We are not responsible for actions taken by third-party platforms, including account suspension or content removal resulting from their policy enforcement.

8. Acceptable Use

You agree not to use Adrez.ai to:

• Create misleading, fraudulent, or deceptive real estate content.
• Violate any applicable laws or regulations.
• Infringe on the intellectual property rights of others.
• Distribute spam or unsolicited communications.
• Attempt to reverse-engineer, decompile, or otherwise extract our proprietary technology.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADREZ.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

Our total aggregate liability for any claims arising from or related to these Terms or the platform shall not exceed the total amount paid by you to Adrez.ai in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination:

• Your access to the platform will be immediately revoked.
• Pending content in the production queue will not be published.
• Your data will be handled in accordance with our Privacy Policy.
• You remain responsible for any fees incurred prior to termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the platform after changes constitutes acceptance of the updated Terms.
